1. General – Scope
1.1 These terms apply exclusively to all contracts between PHYTODYNAMICS UG (haftungsbeschränkt) and business customers.
1.2 Deviating terms of the customer are not accepted unless expressly agreed in writing.
1.3 These terms also apply to future business relationships.
2. Offer – Conclusion of contract
2.1 Information in brochures and promotional materials is non-binding.
2.2 Contracts are concluded only upon written confirmation.
2.3 Changes or cancellations require written approval.
3. Delivery – Transfer of risk
3.1 Delivery times are binding only if confirmed in writing.
3.2 Partial deliveries are permitted.
3.3 Delivery is EXW (Incoterms).
3.4 Risk transfers upon handover to the carrier.
4. Prices – Payment
4.1 Prices are ex works excluding VAT, shipping and packaging.
4.2 Payment is due within 30 days without deduction.
4.3 Late payments are subject to interest.
5. Warranty
5.1 The customer must inspect goods immediately.
5.2 Defects must be reported in writing.
5.3 Remedy is by replacement or repair.
5.4 Warranty period is 1 year.
6. Retention of title
6.1 Goods remain property of PHYTODYNAMICS UG until full payment.
6.2 Resale is allowed only in normal business operations.
7. Liability
7.1 Liability exists only in cases of intent or gross negligence.
7.2 Liability for personal injury remains unaffected.
8. Export regulations
8.1 The buyer must comply with all export regulations.
8.2 End-use must be declared upon request.
9. Jurisdiction – Law
9.1 Place of jurisdiction is Regensburg.
9.2 German law applies excluding CISG.
10. Severability clause
If any provision is invalid, the remaining provisions remain valid.
